Before I ("User") download or process the UCSF dataset, User shall agree to the following terms and conditions: 1. User Obligations. a. User may use and disclose the Data received from UCSF only for research and educational purposes. b. User agrees to use the Data, and to protect the privacy and security of the Data, according to all applicable laws and regulations, including but not limited to the Health Insurance Portability and Accountability Act (HIPAA), and no less rigorously than it protects its own sensitive information, but in no case less than reasonable care. User shall implement, maintain and use appropriate administrative, technical and physical security measures to preserve the security, integrity and availability of the Data. c. The Data shall be used only at the User organization and under the direction of the User or others working under User's direct supervision; d. The Data shall not be transferred to anyone outside the User organization without the written consent of UCSF; e. User shall make no attempt to reidentify Data or otherwise learn the identity of any individual, nor contact any individual whose information is contained in the Data (this Section shall be considered material to this License); f. If User incidentally discovers PHI information from the Data, User shall immediately inform UCSF's Privacy Office and cease use of the Data; g. User shall immediately inform UCSF within twenty-four (24) hours of User becoming aware of any use or disclosure of the Data in violation of this License or applicable law; and h. The Data shall not be used for any commercial purposes, including to make, use, sell, offer for sale, lease, to a commercial entity or a commercial product. 2. Breach, Enforcement and Termination. a. Term. This License shall be effective as of the date of last signature below ("Effective Date") and shall continue until the License is terminated by UCSF, in accordance with the provisions of this Section 2, whichever is shorter. All of User's obligations under Articles 1, 2, and 3 herein shall survive the expiration or termination of this License indefinitely. b. Termination. UCSF may terminate this License: i. immediately if UCSF determines that User has breached or violated a material term of this License; or ii. immediately if it is in the best interest of UCSF, as deemed by UCSF in its reasonable sole discretion to do so; or in case of breach, as defined in Section (c) below. c. Disposition of Records. Upon termination of this License for any reason, including, but not limited to User's decision to cease use of the Data, User agrees to return or destroy all Data, including copies or portions incorporated in whole or in part. If User destroys Data, they agree to provide to UCSF a certification of destruction upon request. d. Liability. Except to the extent prohibited by law, the User assumes all liability for damages which may arise from its use, storage, disclosure, or disposal of the Data. UCSF will not be liable to the User for any loss, claim, or demand made by the User, or made against the User by any other party, due to or arising from the use of the Data by the User. The parties' rights and obligations under this Section 2.d. shall survive termination of the License. 3. Reports and Publication. a. User shall agree that all presentations and publications resulting from any use of this dataset must appropriately cite the contributions of both parties, using customary standards of scientific attribution. 4. Miscellaneous Terms. Use of Name. User shall not use the UCSF name, trademark, or logo or names of UCSF's employees in any marketing, advertisement, press release, or other publicity without prior written approval of the other party. For avoidance of doubt, this section is not intended to limit the use, citation, or publication of the UCSF name in any potential publication.
